These Terms and Conditions (“Terms”) govern the terms of use of our panorama stitching software PanoramaStudio (“Software”), which is available for download for Windows and Mac, as well as the services, content, and functionality available on our website (the “Service”).

By downloading, purchasing, or using our Software or accessing our website, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you should not download, purchase, or use our Software.

2. Software License

2.1 License Grant

By purchasing or downloading any of our software products, we grant you a limited, non-exclusive, non-transferable license to use the Software, subject to the specific terms outlined in the license agreement for each individual product. These terms are detailed in the individual license agreements available on the Downloads and Buy pages.

You agree to comply with the terms and conditions in the license agreement applicable to the specific product you purchase or download.

2.2 License Restrictions

You agree not to:

  • Copy, modify, or create derivative works of the Software.
  • Reverse engineer, decompile, or disassemble the Software.
  • Sell, rent, lease, distribute, or sublicense the Software to any third party.
  • Use the Software for any unlawful or prohibited activity.

3. Orders and Payments

3.1 Purchases

When you purchase our software, you agree to provide accurate information. Our order process is handled by our authorised online reseller FastSpring. FastSpring provides all customer service inquiries and handles refunds.

If you place an order via the authorised reseller FastSpring, you agree to their terms and conditions and their privacy policy.

3.2 Refund Policy

To help you make an informed decision, we provide a fully functional trial version of each software product. We also offer a 30-day money-back guarantee for all purchases. If you purchase the Software and are not satisfied within 30 days, you can contact us via the support form or support email provided there to initiate a refund.

3.3 License

Upon purchase, you will receive a unique license key to activate the Software. You agree to keep this key confidential and not to share or distribute it. If the key is shared or abused, we reserve the right to deactivate it without prior notice.

4. Software Updates

We provide minor updates to the Software (e.g., version 4.0 to 4.1) at no additional cost. These minor updates may include new functions as well as bug fixes. Customers using older versions of the software can purchase major updates at an update price. Notifications about the availability of updates will be shown from time to time when the Software is started.

5. Intellectual Property

All intellectual property rights in the Software, including but not limited to copyrights and trademarks, are owned by Tobias Hüllmandel. You acknowledge that you have no ownership or proprietary interest in the Software other than the limited license granted to you under these Terms.

6. Disclaimer of Warranties and Limitation of Liability

The Software is provided “as-is” and “as available” without any warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Software will be free from errors, bugs, or interruptions, and we are not responsible for any loss of data or damage that may result from its use.

To the fullest extent permitted by law, Tobias Hüllmandel Software and its affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your use or inability to use the Software, even if we have been advised of the possibility of such damages. Our total liability to you shall not exceed the amount you paid for the Software.

8. Applicable Law

For consumers and other persons with their habitual place of business or residence in a member state of the European Union (EU) or the European Economic Area (EEA) at the time of conclusion of the contract, German law shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods.

For consumers with habitual residence in a country that is neither a member of the EU nor the EEA, German law shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods and German consumer protection law.

Irrespective of this choice of law, the mandatory consumer protection law of the state in which they have their habitual residence at the time of the conclusion of the contract shall also always apply to consumers.
